Promtheon — Terms of Use
These Terms of Use (the "Terms" or this "Agreement") govern your access to and use of the Promtheon platform and services. By creating an account, accessing, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. About Promtheon
Promtheon is an AI software-as-a-service platform that provides unified access to advanced large language models and generative AI technologies (text, image and multimodal models) via a single subscription and a credit-based usage system. The Services may connect to third‑party model providers and infrastructure to deliver functionality. Features may vary by plan and region.
Definitions
Company / we / us / our: LLC "37 WEB PRODACTION", organized under the laws of Ukraine, with its registered address at Ukraine, 14000, Chernihiv region, city of Chernihiv, Shevchenka Street, building 5.
You / Customer / User: a natural person or legal entity that accesses or uses the Services.
Services: the Promtheon website, web app(s), APIs, and related software, features and content.
Account: a registered profile enabling access to the Services.
Credits: units consumed when you invoke features (e.g., text generations, image creations) per our in‑app cost table.
Content: inputs you provide ("Input"), outputs generated ("Output"), files you upload, and any other material processed via the Services.
2. Eligibility
You must be at least 13 years old to use the Services. If you are located in the EEA/UK, you must be at least 16 (or the age of digital consent in your country).
If you accept these Terms on behalf of a company or organization, you represent that you have authority to bind that entity, in which case "you" means that entity.
3. Account Registration & Security
You must provide accurate, current, and complete information and keep it updated.
You are responsible for safeguarding your credentials and any activity under your Account. Notify us immediately of any unauthorized use.

4. Plans, Subscriptions & Credits
4.1 Plans
Promtheon currently offers:
Free plan: includes a daily allowance of credits (e.g., 30 credits/day) and access to a selection of basic models and features.
Pro plan: paid subscription including an annual credit pool (e.g., 60,000 credits/year) and access to advanced models and features.
We may add, remove, or modify plans, allowances, or included features. The then-current plan descriptions are shown in the app or on Pricing Page.
4.2 Credits & consumption
Credits are deducted per request based on the model/tool you use as described in the in‑app cost table.
Daily or periodic allowances (e.g., Free plan) reset on the schedule shown in the app; unused daily credits do not roll over.
Annual pools (e.g., Pro) are available for the subscription term; unused credits at term end expire.
We may adjust per‑feature pricing and/or allowances; changes will apply prospectively and be posted in‑app or on our Pricing Page
4.3 Fair use & rate limits
To ensure reliable service for all customers, we may apply rate limits, concurrency limits, per‑model caps, or other technical controls. Abusive, automated, or anomalous consumption may result in throttling, suspension, or termination.
5. Fees, Payments & Taxes
5.1 Subscription term & renewal
Paid plans are billed monthly or yearly in advance and auto‑renew at the end of each term unless you cancel before renewal. Upon renewal, the then‑current price applies.
5.2 Payment processing
Payments are processed by third‑party providers. Specifically, we support LiqPay and Paddle (and may support other authorized gateways). We do not store and do not have access to your full card numbers. Your use of a payment provider is subject to that provider's terms Privacy Policy .
5.3 Taxes & invoices
Prices may be shown exclusive of taxes. Applicable taxes (e.g., VAT/GST) may be charged where required by law. Our payment processors may act as merchant of record and may collect/remit taxes and issue invoices as needed.
5.4 Cancellations & refunds
You may cancel at any time via the dashboard; access continues until the end of the paid term. Fees are non‑refundable except as required by applicable law or as we may otherwise state in writing. Nothing in these Terms limits any mandatory consumer rights (e.g., certain EEA consumer rights); where required, we comply with those rights.
6. Acceptable Use Policy
You agree not to (and not to allow any third party to):
Use the Services for unlawful purposes; violate others' rights, including IP, privacy, or publicity rights.
Submit, generate, or share content that is illegal, harmful, violent, sexually explicit, hateful, discriminatory, deceptive, or otherwise objectionable.
Harass, spam, or engage in automated scraping, crawling, or data extraction without our prior written consent.
Circumvent security, authentication, usage, geographic, or paywall restrictions; probe, scan, or test the vulnerability of any system or network.
Share, resell, or otherwise make the Services available to third parties as a managed service without our written permission; create or use multiple Accounts to bypass limits.
Interfere with or impose an unreasonable load on the Services; run processes that remain active when you are not interacting; use bots to farm credits.
Upload or transmit malware, viruses, or harmful code.
We may investigate and take any action we deem appropriate, including suspending or terminating Accounts, and disabling features or content without notice if we reasonably believe these Terms (including this AUP) have been violated. Refunds are not guaranteed in cases involving violations or abuse.
7. Content, Ownership & Licenses
7.1 Your Content
As between you and us, you own your Inputs and Outputs. You grant us a limited, worldwide, non‑exclusive license to host, process, transmit, display, and otherwise use your Content solely to provide and maintain the Services, comply with law, and prevent fraud or abuse. You represent that you have all rights necessary to grant this license and to use the Services with your Content.
7.2 Generated outputs & responsibility
AI outputs may be inaccurate, incomplete, biased, or inappropriate. You are responsible for reviewing and verifying Outputs and for how you use them. Do not rely on Outputs as professional advice (e.g., legal, medical, financial). Where your use implicates third‑party rights or sector rules, you remain responsible for compliance.
7.3 Model providers & subprocessors
To deliver features, we may route requests to third‑party model providers and infrastructure (e.g., LLMs, image models, hosting). We share only the data necessary to fulfill your request and we contractually require appropriate safeguards. More information is provided in our Privacy Policy.
7.4 Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use them without restriction or compensation.
8. Intellectual Property
The Services (including software, UI, design, text, graphics, trademarks, and logos) are owned by us or our licensors and are protected by law. Except for rights expressly granted in these Terms, we reserve all rights.
Brand notices: Third‑party names and marks (e.g., GPT, Claude, Gemini, FLUX, Qwen, Llama, Perplexity, Imagen) are property of their respective owners and are used for identification only; no affiliation or endorsement is implied.
9. Third‑Party Services & Links
The Services may include integrations or links to third‑party sites or services. We do not control and are not responsible for those third parties. Your use of third‑party services may be governed by their terms andPrivacy Policy.
10. Service Changes & Availability
We may add, modify, or discontinue features or plans at any time. We strive for high availability but do not guarantee uninterrupted or error‑free operation. Maintenance, updates, outages, or provider issues may affect availability. We may notify you of significant changes where reasonable.
11. Term; Suspension; Termination
These Terms remain in effect while you use the Services. We may suspend or terminate access (in whole or in part) with or without notice if we reasonably believe you have violated these Terms, pose a risk, or where required by law. You may cease use at any time and/or delete your Account via the dashboard (subject to applicable data retention obligations). Provisions intended to survive termination (e.g., IP, disclaimers, limitations, indemnities) will survive.
12. Warranties; Disclaimers
THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON‑INFRINGEMENT, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT OUTPUTS WILL BE RELIABLE, CORRECT, OR COMPLETE. YOU USE THE SERVICES AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMTHEON AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR BUSINESS INTERRUPTION.
TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY 3‑MONTH PERIOD SHALL NOT EXCEED THE AMOUNT YOU PAID TO PROMTHEON FOR THE SERVICES IN THAT 3‑MONTH PERIOD (OR US $50 IF YOU USE THE FREE PLAN).
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.
14. Indemnification
You will indemnify and hold harmless Promtheon, its affiliates, and personnel from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your Content, your use of the Services, or your violation of these Terms or applicable law.
15. Privacy & Data Protection
Your use of the Services is subject to our Privacy Policy, which explains what personal data we process and why. Where required by law, we will enter into appropriate data protection terms with business customers.
16. Compliance, Export & Sanctions
You represent that you are not subject to sanctions or located in a restricted jurisdiction and that you will comply with applicable export, sanctions, and anti‑corruption laws. You may not use the Services if prohibited by law.
17. Governing Law; Disputes
These Terms are governed by the laws of Ukraine, without regard to conflict‑of‑laws principles. Venue: courts of Kyiv, Ukraine. If you are a consumer in the EU/EEA/UK, you also benefit from any mandatory local consumer protections under the law of your country of residence. Before bringing a claim, the parties will attempt to resolve disputes informally for 30 days.
18. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable prior notice (e.g., by email or in‑app) and indicate the new effective date. Your continued use after the effective date constitutes acceptance of the changes.
19. Miscellaneous
Entire agreement: These Terms and any referenced policies are the entire agreement between you and us regarding the Services.
Severability: If any provision is unenforceable, the remainder remains in effect.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
Language & precedence: This English version governs. If we publish a Ukrainian public offer (публічна оферта), and there is a conflict, the Ukrainian version shall prevail for users domiciled in Ukraine.

Examples of available providers and models may include: text models (e.g., GPT family, Claude family, Gemini family, Qwen, Llama, DeepSeek), research tools (e.g., web search and deep‑research providers), and image models (e.g., FLUX, Imagen, Seedream, HiDream). Availability depends on your plan and region and may change without notice. All third‑party names and marks are the property of their respective owners.
By using Promtheon, you acknowledge that you have read and understood these Terms.
